Deed of Guarantee and Indemnity
A guarantee is a legal promise made by one party (the guarantor) to fulfill the obligations or settle the debts of another party (the debtor) if they fail to do so. It is commonly used in loan agreements, leases, and business transactions to provide additional security to the creditor.
An indemnity, on the other hand, is a contractual obligation where one party agrees to compensate another for specific losses or damages, regardless of whether a default occurs. Indemnities are typically used in commercial contracts to allocate financial risks between parties.
When is a Deed of Guarantee and Indemnity Normally Used?
A deed of guarantee and indemnity is commonly used in the following situations:
- Loans - to secure repayment of a loan by having a guarantor take responsibility if the borrower defaults. Read more.
- Commercial leases - to ensure a guarantor covers the tenant’s obligations, such as rent payments, if the tenant fails to do so.
- Contracts - to provide assurance in supplier agreements or other contracts where one party’s performance is critical.
- Director’s indemnity and guarantee – where a director promises to fulfill its company’s obligation if the company cannot, such as guaranteeing a loan taken out by its company.
- Debt restructuring - to formalise new arrangements where a guarantor is required to secure obligations.
Guarantee and indemnities are often documented via a Guarantee and Indemnity Deed or as part of another legal document. This deed provides creditors with confidence that their interests are protected, even if the primary party fails to meet their obligations. For guarantors, agreeing to guarantee the obligation of another party comes with significant risks, including risks to losing its own personal assets. As such, obtaining legal advice prior to signing a Deed of Guarantee and Indemnity is important.
